Terms of Service

1. Acceptance of terms

By accessing or using VALIRIS (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using VALIRIS on behalf of a company or organisation, you confirm that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service. These Terms apply to all users of the platform, including during any free trial period.

2. The Service

VALIRIS is an AI-powered guest communication platform for short-term rental operators. The Service connects to your property management system (PMS), retrieves booking and guest data, and automatically handles guest messages using AI based on the rules and knowledge base you configure.

VALIRIS is provided by VALIRIS SAS, a company registered in France (SIRET: [pending registration], contact@valiris.io).

3. Account registration and security

To use VALIRIS, you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Notify us immediately at contact@valiris.io if you suspect unauthorised access to your account. VALIRIS is not liable for losses resulting from compromised credentials.

4. Subscription and billing

VALIRIS is offered as a subscription service. Pricing is based on the number of properties you manage and is detailed on our Pricing page. All prices are listed in euros (€) and are exclusive of applicable taxes.

Billing cycle

Subscriptions are billed monthly or annually. Annual plans receive a 15% discount. Billing occurs at the start of each period.

Payment

Payments are processed via Stripe. By providing payment details, you authorise VALIRIS to charge your payment method on a recurring basis for your chosen plan.

Failed payments

If a payment fails, we will notify you and attempt to collect payment again. Access to the Service may be suspended until payment is successfully processed.

No refunds

Subscription fees are non-refundable, except where required by applicable law. If you cancel mid-period, you will retain access to the Service until the end of the billing period.

5. Free trial

VALIRIS may offer a 14-day free trial for new accounts. No payment is required during the trial. At the end of the trial period, you will need to select a paid plan to continue using the Service. If you do not subscribe, your account will be deactivated and your data may be deleted after 30 days.

VALIRIS reserves the right to modify, shorten, or discontinue the free trial offer at any time.

6. Acceptable use

You agree to use VALIRIS only for lawful purposes and in a way that does not infringe the rights of others. You must not:

  • × Use the Service to send misleading, deceptive, or illegal content to guests.
  • × Attempt to reverse-engineer, copy, or replicate any part of the VALIRIS platform.
  • × Use the Service in any way that places an unreasonable load on our infrastructure.
  • × Share your account credentials with unauthorised third parties.
  • × Upload content that is unlawful, harmful, or violates any third-party rights.

7. AI responses and your responsibility

VALIRIS uses AI to generate and send messages on your behalf. You are solely responsible for the content of your Knowledge Base, Process Rules, and any configuration that affects what the AI communicates to guests.

While VALIRIS is designed to handle the majority of guest interactions accurately, AI systems are not perfect. We strongly recommend enabling the Approval Workflow feature to review AI responses before they are sent, particularly for sensitive conversations.

VALIRIS is a tool to assist you, not replace your judgement. You remain responsible for all communications sent to your guests, whether generated by AI or written manually.

8. Intellectual property

VALIRIS SAS owns all rights to the platform, software, design, and technology that constitute the Service. Nothing in these Terms grants you any ownership over VALIRIS's intellectual property.

You retain full ownership of all data you upload to VALIRIS — your Knowledge Base content, Process Rules, property information, and guest data. By using the Service, you grant VALIRIS a limited licence to process this data solely to provide the Service to you.

9. Service availability

We aim to maintain high availability of the Service, but we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible. Unscheduled downtime may occur due to factors outside our control.

VALIRIS is not liable for any loss or damage resulting from temporary unavailability of the Service.

10. Limitation of liability

To the maximum extent permitted by law, VALIRIS SAS shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of — or inability to use — the Service, including but not limited to loss of revenue, lost bookings, or reputational damage caused by AI-generated communications.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to VALIRIS in the three months preceding the claim.

11. Cancellation and termination

Cancellation by you

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No partial refunds are issued.

Termination by VALIRIS

We may suspend or terminate your account if you breach these Terms, fail to pay, or engage in conduct that harms the Service or other users. We will provide reasonable notice where possible.

Your data after termination

Following account termination, your data will be retained for 30 days to allow for reactivation or export, then permanently deleted — except where we are legally required to retain it.

12. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of France. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of France.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify you by email or via a banner in the platform at least 14 days before the changes take effect.

Continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.
